Terms & Conditions

Video Edits LLC, a Wyoming limited liability corporation (referred to as “Video Edits”) reserves the right to change or modify this Agreement, and any policy or guideline incorporated by reference at any time at its sole discretion.

You (referred to as “Customer”) accept our Terms of Service, detailed herein, upon clicking the checkbox in our checkout process (which is required to complete the form). You agree that you’ve reviewed and understand the content on how our service works and our scope at https://videoedits.com.

All policies extend to end clients for white label and reseller users.

Any changes or modification will be posted by Video Edits to www.videoedits.com/terms and become effective upon posting of the revisions on this document.

You are responsible for regularly reviewing the Site to obtain timely notice of such changes or modifications. Your continued use of the Services following Video Edits posting of any changes or modifications will constitute your acceptance of such changes or modifications. IF YOU DO NOT AGREE TO THE TERMS OF ANY MODIFICATION, DO NOT CONTINUE TO USE THE SERVICES.

Orders and Scope

Video Edits provides one-off, per-project video editing services. Each order covers a single video project as described on the order form for the service you select. We work on one video at a time per order. Turnaround times are not guaranteed; most projects are delivered within 3-5 business days depending on the length and complexity of the project.

Revisions

Each project includes 2 revisions. Additional revisions, or changes that go beyond the scope of the original brief, may require a new order.

Payment

Payment is collected at the time of ordering through our order form. Orders are one-time purchases. Nothing renews automatically. You represent and warrant to Video Edits that your payment information is accurate and that you are authorized to use the payment instrument. Video Edits may change its pricing from time to time by posting the changes on the Site; price changes do not affect orders already placed.

If we find that you are not in alignment with our model, violate our core values, or are abusing our services or team in any way, including using our services for illegal or adult/pornographic materials, we reserve the right to cancel your order and decline future work.

Cancellations and Refunds

You may cancel an order before editing has begun by contacting us at sales@videoedits.com or through our helpdesk at app.videoedits.com/helpdesk, and we will refund it in full. Because production begins shortly after ordering, payments for projects already in progress are non-refundable. If a delivered edit does not match your brief, we will work with you through the included revisions to make it right. Charges and refunds are dependent on the exchange rate between the US Dollar and your currency for the day.

We don’t provide the following services

We can’t record voiceovers.

We can’t do animations.

Output files

While we do our best to minimize any mistakes, due to the nature of creative design we cannot guarantee all files delivered will be 100% error-free. Upon file delivery, you agree to review and proof all files for any errors or omissions and notify our team if any changes/corrections are needed. We will do our best to rush any edits to correct the mistakes. Video Edits is not responsible or liable for any losses or expenses incurred from errors or omissions.

Ownership of Content

Customer maintains the ownership rights in any User Content that such Customer submits to the site and the finished product Video Edits produces.

Grant of Limited Rights to Video Edits

By submitting a project to Video Edits, the Customer gives us the rights to User Content to the extent necessary to complete the project. Each Customer authorizes us to retain archival copies of all User Content that such Customer has submitted.

By default, you agree to provide Video Edits with a non-exclusive right and license to publish your work in our portfolio, website logo block, social media, email, or other communication efforts. If you would like to revoke this right, please notify our team in writing to sales@videoedits.com.

Work and delivery output

Your delivery timeline depends on many factors, namely total request volume and project complexity. We will do our best to work with you to accommodate any priority items and your timelines, but our suggestion is to not use our service for extremely time-sensitive requests. Your right to use the Video Edits services shall terminate upon your breach of any term of this Agreement.

Limitation of liability

We will not be liable to you or any third party in any event for any loss (financially or otherwise) or any damages arising from or relating to this Agreement. You acknowledge and agree that your use of this site is at your own discretion and risk. BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, OR LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THESE LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT SHALL THE TOTAL LIABILITY OF Video Edits UNDER THIS AGREEMENT EXCEED THE AMOUNT PAID FOR THE ORDER GIVING RISE TO THE CLAIM, REGARDLESS OF THE CAUSE OF ACTION, IN TORT, CONTRACT, OR OTHERWISE.

Indemnification

To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless Video Edits and each of our respective officers, directors, agents, partners, and employees (individually and collectively, the “Video Edits Parties”) from and against any loss, liability, claim, demand, damages, expenses, or costs (“Claims”) arising out of or related to (a) your access to or use of our Services; (b) Whitelabel access to our service (c) your violation of these Terms; (d) your violation, misappropriation, or infringement of any rights of another (including intellectual property rights or privacy rights) or (e) your conduct in connection with our Services. You agree to promptly notify Video Edits of any third-party Claims, cooperate with Video Edits in defending such Claims and pay all fees, costs, and expenses associated with defending such Claims (including, but not limited to, attorneys’ fees). You also agree that Video Edits will have control of the defense or settlement of any third-party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and Video Edits.

Definitions

Business day: Video Edits operates in the Philippine time zone, Tuesday to Saturday, 8 am to 5 pm GMT+8.

Digital Millennium Copyright Act (DMCA). In the event materials are made available to this Site by third parties not within our control (ie: stock footage, creative commons license), we are under no obligation to, and do not, scan such content for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit materials known by us to infringe another party’s copyright to remain on the Site. If you believe any materials on the Site infringe a copyright, you should provide us with written notice that at a minimum contains:

- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;

- Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;

- A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

- and A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

It is our policy to terminate relationships regarding content with third parties who repeatedly infringe the copyrights of others.

Governing law

Any claim relating to Video Edits's website or Services shall be governed by the laws of the State of Wyoming without regard to its conflict of law provisions.
